Terms of Service

1. Agreement

By creating an account or using Nexec, you agree to these Terms. If you don't agree, don't use the service. Nexec is operated by [Entity TBD]. These Terms form the agreement between you and us.

2. What Nexec Is

Nexec is a job search management platform. It helps senior professionals organize their search, manage relationships, and track pipeline. It is not a recruiter, a staffing agency, or an employment service. We don't place candidates or represent employers.

3. Your Account

You must be 18 or older to use Nexec. You're responsible for keeping your credentials secure and for all activity under your account. If you suspect unauthorized access, notify us at support@nexec.ai immediately.

You may not create an account on behalf of someone else or use Nexec to manage another person's job search without their knowledge and consent.

4. Connecting Third-Party Accounts

When you connect Gmail or other accounts:

• You authorize us to access data from those accounts as described in our Privacy Policy
• You represent that you have the right to grant that access
• You can revoke access at any time from Settings

We access connected accounts only to provide features you've activated. We don't sell access to your connected accounts or share that data with third parties beyond what's described in our Privacy Policy.

5. Your Content

You own the contacts, notes, pipeline entries, and other content you create in Nexec. By using the service, you grant us a limited license to store, process, and display that content to provide the service to you.

You represent that content you upload or connect doesn't violate anyone else's rights — including contacts whose information you import. Don't import contact data you don't have a legitimate basis to use.

6. AI Features

Nexec uses AI (Claude by Anthropic) to analyze your communications and generate suggestions. A few things to understand:

• AI output is not advice. Suggestions about follow-ups, positioning, or recruiter outreach are recommendations generated by a language model. They may be wrong, incomplete, or not appropriate for your situation. Use your judgment.
• We don't guarantee accuracy. AI-extracted contact information, interaction summaries, and suggestions may contain errors. Review anything important before acting on it.
• You control what happens. The AI surfaces recommendations; you decide what to do with them.

7. Acceptable Use

You may not use Nexec to:

• Violate any law or regulation
• Harvest, scrape, or bulk-export data for purposes other than managing your own search
• Upload malicious code or attempt to compromise our systems
• Impersonate another person
• Use the platform to manage job searches for multiple candidates commercially (i.e., as a recruiter tool) without a separate agreement with us

8. Fees and Payment

Nexec is currently in beta and free to use. If and when we introduce paid tiers:

• We'll give existing users reasonable notice before charging
• Subscription fees are billed in advance and non-refundable except where required by law
• We may suspend access for non-payment after notice

9. Termination

You can delete your account at any time. We can suspend or terminate accounts that violate these Terms, with or without notice depending on severity. On termination, your data is deleted per our Privacy Policy.

10. Disclaimers

Nexec is provided as is. We don't guarantee that it will always be available, error-free, or that AI suggestions will be accurate or useful. We're not responsible for outcomes of your job search.

To the extent permitted by law, we disclaim all warranties, express or implied.

11. Limitation of Liability

To the extent permitted by law, Nexec's total liability to you for any claim arising from use of the service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

We're not liable for indirect, incidental, or consequential damages — including lost job opportunities or career outcomes.

12. Changes

We may update these Terms. Material changes will be communicated by email. Continued use after changes constitutes acceptance. If you don't agree to updated Terms, you can delete your account.

13. Governing Law

These Terms are governed by the laws of [State TBD], without regard to conflict of law principles.
